Introduction to

Prive Capital Investment Fund

Core Initiatives

Prive Capital Investment Fund I (“PCIF”) is a mutual fund trust, and its business is twofold:

  • PCIF will loan funds raised with respect to the issuance of Class F trust units to Prive Capital Finance LP I (“Finance LP”) and
  • Will acquire Class A limited partnership units in Prive Capital Real Estate LP I (“RE LP”) with funds raised with respect to the issuance of Class RE trust units. Finance LP and RE LP offer boutique debt & equity to the Canadian middle-market. Our fund finances and originates loans independently.

The debt fund via the Finance LP will loan funds to borrowers in the approved industry sectors. Funds raised by PCIF with respect to the issuance of Class F trust units will be loaned to the Finance LP and in return Finance LP will issue a promissory note to PCIF. The Finance LP will then use the funds it receives from PCIF to make loans to borrowers.

The equity fund via the RE LP will invest in residential mixed use, commercial and industrial real estate developments (each a “Project” and collectively the “Projects”) located primarily in the Province of Ontario, as well as in other Provinces of Canada, developed: (i) by the RE LP as Project developer; (ii) by un-related third parties as Project developer or by corporations, joint ventures or by partnerships controlled by the officers and directors of the RE LP’s general partner as Project developer, and conduct any other business or activity incidental, ancillary or related thereto. Funds raised by PCIF with respect to the issuance of Class RE trust units will be used by PCIF to acquire Class A limited partnership units in the RE Partnership. The RE Partnership will then use the funds it receives from PCIF’s acquisition of Class A limited partnership units to invest in Projects.
